Dangote Seals $2.5bn Private Placement Ahead of Landmark IPO

Dangote Petroleum Refinery and Petrochemicals has officially closed a $2.5 billion private equity placement, a transaction the company says ranks among the largest publicly disclosed primary equity raises ever executed by an African corporation.

The announcement, made in a statement on Thursday, caps weeks of intense investor interest in what is already the world’s largest single-train refinery.

According to the company, the offering was 3.7 times oversubscribed relative to its initial offer size, a demand surge that ultimately pushed the total allotment of new equity to roughly $2.5 billion.

That level of oversubscription echoes earlier reporting on the deal: sources close to the transaction had said the placement drew around $4 billion in investor demand, well above the amount the refinery had originally set out to raise.

The structure of the raise reportedly unfolded in stages. Sources familiar with the matter indicated the deal began with an initial $2 billion share sale followed by an additional $500 million, with the bulk of the money backed by regional institutional investors.

While Dangote’s official statement did not immediately name every participant, it did disclose that the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank), were among the key backers.

The company added that the round also drew a broader mix of institutional and individual investors, which it framed as evidence of confidence in the refinery’s long-term trajectory.

This regional and pan-African investor tilt fits a pattern Aliko Dangote has pushed for years: keeping strategic African infrastructure in African hands.

The billionaire has consistently advocated for greater African ownership of major infrastructure projects, and the strong participation of regional funds in this raise appears to reinforce that ambition.

The private placement isn’t happening in isolation; it’s widely seen as a precursor to a much larger event: a planned initial public offering that could become the biggest ever staged on the continent.

A report from Bloomberg indicated Dangote sold a stake of as much as 6% of Dangote Petroleum Refinery & Petrochemicals FZE at a price that would value the company at about $40 billion.

Earlier private placement terms had involved offering 3 billion ordinary shares at $0.35 each, with participation requiring investors to purchase a minimum of one million shares, valued at $350,000, while additional subscriptions were available in blocks of 500,000 shares.

Shares acquired in the placement also carry restrictions on resale, with the allotted stock subject to a 365-day lock-up period, according to people familiar with the matter.

Industry watchers now expect the IPO itself to launch on the Nigerian Exchange within weeks. Some reports suggest the listing could follow as early as August, aiming to raise an additional $1.5 to $2 billion, though other accounts point to a slightly later window, with September also mentioned as a possible listing date.

Group Executive Director Devakumar Edwin confirmed the raise was intended to help the company strengthen its financing structure, with the fresh funds expected to support the refinery’s expansion plans as it continues to increase production and deepen its presence in both Nigeria’s domestic fuel market and export destinations.

Since starting production in 2024, the 650,000-bpd refinery… has ramped up output of diesel, jet fuel, naphtha, and petrol, sharply cutting Nigeria’s reliance on fuel imports.

Company plans reportedly call for a near doubling of capacity, with earlier reporting noting an ambition to expand output from 650,000 to 1.4 million barrels per day by 2028.

Dangote’s statement described the transaction as a significant milestone in its long-term growth strategy, language that echoes across nearly every account of the deal.

Whether or not the eventual IPO breaks records outright, the sheer scale of investor appetite for this private round nearly $4 billion in demand against a $2.5 billion allocation signals rising confidence among African and global institutional investors in large-scale industrial assets on the continent.

For now, the refinery has capital in hand, a fresh $40 billion valuation benchmark, and a growing list of institutional backers. The next test comes when and if the company takes that momentum public.
